§ 1 Scope, provider and contract language

(1) These terms apply to all contracts you conclude with us as a consumer (Section 1 KSchG, Austrian Consumer Protection Act) via the website examelia.com.

(2) Your contractual partner is:

Examelia – Vico Development B.V.

Walserij 4, 2211 SJ Noordwijkerhout, The Netherlands

Email: info@examelia.com

Phone: +31 252 823 445

(3) The contract language is German. Translations of these terms are for your understanding only; the German version prevails.

§ 2 Services

(1) Examelia is a digital German course at level A2–B1 that you use in your browser. It prepares you for the language part and the Werte- und Orientierungswissen part of the ÖIF integration exam (ÖIF-Integrationsprüfung, A2/B1). Explanations are available in German, English, Arabic, Turkish and Ukrainian; example sentences, exercises and exam material remain in German in every language. The course consists of five parts:

Hören (listening): lessons, audio and listening exercises;
Lesen (reading): lessons and reading exercises;
Schreiben (writing): lessons, letter templates, model answers and writing exercises;
Sprechen (speaking): lessons, model dialogues as audio and speaking exercises;
Werte- und Orientierungswissen (knowledge of values and orientation): lessons and practice questions on the topics of this part of the exam (living together, equality of women and men, the rule of law, education, work).

(2) You can book individual parts or all five together as the complete package “Alles”(“Everything”). The subject of the contract is the parts you choose when ordering; you get access to exactly those parts.

(3) Only the complete package “Alles” also includes model tests in the ÖIF format. These are Examelia’s own tasks in the format of the ÖIF integration exam (A2/B1), not original exams. Examelia does not hold any exams. The exam itself, registration and exam fees are not included.

(4) We do not owe any particular learning or exam result. There is no money-back or pass guarantee. Your statutory rights, in particular your right of withdrawal and your warranty rights, remain unaffected.

(5) Examelia is an independent service and not an offer of the Austrian Integration Fund (ÖIF). Examelia is not affiliated with the ÖIF, the ÖSD or any public authority.

§ 3 Self-study only

(1) Examelia is a pure self-study service. You learn independently with the content provided.

(2) You are not entitled to have us or anyone acting for us answer questions about the learning material, correct your work, give you personal feedback or individually monitor your learning progress.

(3) Automatically marked practice questions, model answers, model dialogues, model tests and the display of your progress serve solely for your own self-assessment.

(4) Our customer service helps exclusively with questions about technology, access and account, contract and payment.

§ 4 Conclusion of the contract

(1) The presentation of our offer on the website is not yet a binding offer but an invitation to you to place an order.

(2) When ordering, you choose the complete package or individual parts and the term, enter your name and email address and choose a payment method. Before submitting, you see all details in an overview and can correct input errors there. By clicking the “Buy now” („Jetzt kaufen“) button you make a binding offer with an obligation to pay.

(3) The contract is concluded as soon as the first payment succeeds and we activate your access. We confirm the contract to you by email without delay. The confirmation contains the contract details, these terms and the information on the right of withdrawal. If you later consent in the learning environment to immediate performance under § 9(2), we also confirm that consent to you by email.

(4) We store the contract text. You can find the current terms at any time at examelia.com/at/en/agb.

§ 5 Access and rights of use

(1) You receive personal access to the parts you booked. You may use it on several of your own devices but must not share it with others. Keep your login details secret.

(2) All content is protected by copyright. For the term of the contract you receive a simple, non-transferable right to use it for your own exam preparation. Copying, passing on, publishing and automated extraction are not permitted.

(3) If you seriously breach para. 1 or 2, for example by sharing your access, we may block access after a prior warning. The right to terminate the contract early for good cause remains unaffected.

(4) You need an internet-enabled device with an up-to-date browser and a stable internet connection.

§ 6 Prices and terms

(1) There are three terms. The monthly prices:

Term	Complete package “Alles”	Single part	Minimum term
1 month	€39.95 per month	€14.95 per month	1 month
6 months	€29.95 per month	€11.95 per month	6 months
12 months	€24.95 per month	€9.95 per month	12 months

(2) If you book several individual parts, the total price shown at checkout applies. All prices are final prices including 20% VAT (USt). We pay the VAT to Austria via the One-Stop-Shop procedure (OSS).

(3) Scratch card promotion: if you take part in the scratch card promotion on the website and enter your email address, you receive a code. With it you pay only €9.95 instead of the regular monthly price in the first month of a 6- or 12-month term, whichever parts you choose; from the second month the regular monthly price applies. This does not apply to the 1-month term. The code is valid for 30 days from receipt, only for the email address entered, and cannot be combined with other discounts.

(4) The monthly price of your term continues to apply unchanged after the minimum term.

§ 7 Payment

(1) Payments are processed by the payment service provider Mollie B.V. (Amsterdam, the Netherlands). Depending on what is offered at checkout, you can pay by credit card, Apple Pay, Google Pay or PayPal.

(2) The monthly price is payable monthly in advance. You pay the first monthly instalment when ordering; we collect the following ones automatically one month later each time using the chosen payment method. By ordering you authorise us to do so.

(3) If a payment fails, your access remains for 2 more days. After that it is paused until the outstanding amount has been paid. If payment is not made, the subscription ends and your access expires.

§ 8 Term, renewal and cancellation

(1) The contract begins when it is concluded and runs for at least the chosen minimum term (1, 6 or 12 months). After that it continues for an indefinite period and can be cancelled monthly.

(2) You can cancel at any time without giving reasons. The cancellation takes effect

during the minimum term, at its end, if we receive it no later than 7 days before the end of the minimum term;
after that, at the end of the current billing month, if we receive it no later than 7 days before the next payment.

If we receive your cancellation later, the next monthly instalment is still collected and the contract ends at the end of the month paid for with it. If, after the minimum term, this would make the notice period longer than one month, the contract ends one month after we receive your cancellation; we refund any amount paid in excess pro rata. Otherwise there is no pro-rata refund.

(3) The easiest way to cancel is the “Verträge hier kündigen” (cancel contracts here) button at the bottom of every page or directly at examelia.com/at/en/kuendigen – no login needed. You can also cancel in another way, for example by email to the address in § 1. We confirm receipt of your cancellation with date and time, and the end date of the contract.

(4) You keep your access until the contract ends. Instalments for periods before the end of the contract are not refunded unless your right of withdrawal or statutory provisions provide otherwise.

(5) Both parties’ right to terminate the contract early for good cause remains unaffected; you can also declare such termination at examelia.com/at/en/kuendigen.

§ 9 Right of withdrawal

(1) As a consumer you have a statutory right of withdrawal of 14 days (Section 11 FAGG, Austrian Distance and Off-Premises Contracts Act). Details and a model withdrawal form are in the information on the right of withdrawal. You can withdraw using the “Vom Vertrag zurücktreten” (withdraw from the contract) button at examelia.com/at/en/ruecktritt or by email.

(2) We supply digital content that is not delivered on a tangible medium. Your right of withdrawal expires early if, before you open the course for the first time, you expressly consent in the learning environment to our beginning to supply it before the withdrawal period ends, confirm that you know you lose your right of withdrawal as a result, and we have confirmed this to you by email (Section 18(1) no. 11 and Section 7(3) FAGG). You give both in the learning environment by ticking a box that is not pre-ticked. There is no such box at checkout; you do not give this consent when ordering.

§ 10 Changes and availability

(1) We may change the content if there is a valid reason: adapting to changed exam formats, exam content or legal requirements, correcting errors, technical development or security. You incur no extra costs, and we inform you clearly and comprehensibly.

(2) If a change impairs your access or usability more than minimally, we inform you in advance by email. You can then end the contract free of charge within 30 days of the information or the change.

(3) We strive for the most uninterrupted availability possible and schedule maintenance at low-usage times where possible. Your statutory rights in case of defects remain unaffected.

§ 11 Statutory warranty

The statutory warranty rights apply (Austrian Consumer Warranty Act – VGG – and General Civil Code). During the term of the contract we provide the updates necessary to keep the service in conformity with the contract.

§ 12 Liability

(1) We are liable without limitation for intent and gross negligence, for personal injury (injury to life, body or health), and under the Product Liability Act and other mandatory statutory provisions.

(2) In the case of slight negligence we are liable for other damage only if we breach an essential contractual obligation, i.e. an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case liability is limited to the typical, foreseeable damage.

(3) Otherwise our liability for slight negligence is excluded. Your statutory warranty rights remain unaffected.

§ 13 Customer service and dispute resolution

(1) For questions about technology, access, contract or payment, you can reach us using the contact details in § 1 or via examelia.com/at/en/kontakt.

(2) We are neither willing nor obliged to take part in alternative dispute resolution proceedings before a consumer arbitration body.

§ 14 Marketing emails and data protection

(1) We only send you marketing emails if you have given separate consent (its own box, not pre-ticked) and confirmed your email address (double opt-in). You can unsubscribe at any time using the link in every email. Emails needed to perform the contract are sent regardless.

(2) How we handle your data is explained in the privacy policy.

§ 15 Applicable law and final provisions

(1) Dutch law applies, excluding the UN Convention on Contracts for the International Sale of Goods. This choice of law applies only insofar as it does not deprive you of the protection afforded by the mandatory provisions of the law of the country in which you have your habitual residence (Art. 6(2) Rome I Regulation). If your habitual residence is in Austria, the mandatory provisions of Austrian consumer protection law in particular continue to apply.

(2) You can also sue us where you live; we can only sue you where you live. If you live, have your habitual residence or work in Austria, jurisdiction is governed by Section 14 KSchG.

(3) If any provision of these terms is invalid, the remaining provisions remain valid. The invalid provision is replaced by the statutory provisions.
